1. Member & Manager Limited Liability (Wyo. Stat. § 17-29-304)

Pursuant to Section 17-29-304 of the Wyoming Limited Liability Company Act:

"The debts, obligations or other liabilities of a limited liability company, whether arising in contract, tort or otherwise: (i) Are solely the debts, obligations or other liabilities of the company; and (ii) Do not become the debts, obligations or other liabilities of a member or manager solely by reason of the member acting as a member or manager acting as a manager."

Furthermore, under W.S. § 17-29-304(b), the failure of a limited liability company to observe formalities relating to the exercise of its powers or management of its activities is not a ground for imposing personal liability on the members or managers for the debts, obligations, or other liabilities of the company.

2. Exclusive Charging Order Remedy (Wyo. Stat. § 17-29-503)

Wyoming law establishes a charging order as the sole and exclusive judicial remedy by which a judgment creditor of a member may satisfy a judgment out of the member's transferable economic interest in the LLC. Creditors cannot seize company assets, dissolve the company, or assume managerial control.

  • Exclusive Judicial Venue: The state courts situated in the Fourth Judicial District of Wyoming (Sheridan County, WY) or the United States District Court for the District of Wyoming maintain exclusive subject matter and personal jurisdiction over any non-arbitrable judicial proceedings involving Six Tenet LLC.

FinCEN Corporate Transparency Act (CTA)

Six Tenet LLC maintains up-to-date Beneficial Ownership Information (BOI) filings with the Financial Crimes Enforcement Network (FinCEN) of the U.S. Department of the Treasury in accordance with 31 U.S.C. 5336.

Federal IRS Tax Compliance
